Komfyx Authorized Distributor Program Membership Agreement
Article 1 – Purpose of the contract
The purpose of this contract is to define the conditions of membership and collaboration between the Komfyx Brand and the Distributor within the framework of the Authorized Distributor Program relating exclusively to Komfyx branded sneakers.
Article 2 – Admission to the program
Any natural or legal person who can buy a minimum of 15 pairs of Komfyx sneakers at the distributor price can become a distributor.
Article 3 – Duration
This contract is concluded for a period of 12 months, from the date of signature. It is tacitly renewable subject to compliance with contractual commitments.
Article 4 – Commitments of the Distributor
The Distributor undertakes to:
- Respect the recommended retail price set by the Brand.
- Order a minimum of 15 pairs of sneakers for each initial order.
- Maintain a minimum order frequency (e.g., at least one order every 3 months).
- Do not resell the products on unauthorized channels (Amazon, AliExpress, etc.) without prior agreement.
- Use the visuals, logos and materials provided by the Brand without modification.
Article 5 – Brand commitments
The Brand is committed to:
1. Provide Distributor with an exclusive fee schedule.
2. Deliver original products, according to the defined deadlines.
3. Mention the Distributor on its official website as an authorized reseller (if satisfactory performance).
Article 6 – Terms of Sale
1. Minimum initial order : 15 pairs of Komfyx sneakers.
2. Payment terms : 100% upon order
3. Delivery : Shipping costs, taxes are the responsibility of the distributor
4. Return Policy : No returns accepted except for defects or errors attributable to the Brand.
Article 7 – Exclusivity
This contract does not grant territorial exclusivity unless specifically agreed in writing between the parties.
Article 8 – Use of the Komfyx trademark
The Distributor is authorized to use the visual elements, logos, images and texts provided by the Brand, solely in the context of the promotion and sale of Komfyx sneakers.
Any misuse or unauthorized use may result in the immediate termination of the contract.
Article 9 – Termination
This Agreement may be terminated:
1. By the Brand, at any time in the event of non-compliance with the commitments by the Distributor.
2. By Distributor, with 30 days' prior written notice.
In the event of termination, current orders will be honored, unless there is a serious breach.
Article 10 – Disputes
Any dispute relating to the performance or interpretation of this contract will be submitted, as a matter of priority, to an attempt at amicable resolution.
In the absence of an agreement, the dispute will be brought before the competent courts of the registered office of the Brand.
